Terms of Service
Effective as of October 8, 2026
These Terms of Service ("Terms") are an agreement between you and Muse Models.ai Inc. ("Muse", "we", "us"), 5655 Silver Creek Valley Rd, #292, San Jose, California 95138.
They have two parts:
- Part A (Website Terms) applies to everyone who uses www.musemodels.ai (the "Site").
- Part B (Customer Terms) also applies, as relevant, to anyone who signs up for or buys a Muse plan through the Muse Customer Portal, or who buys a Website Package directly on the Site (B20). Each of these is a "Customer".
By using the Site, or by creating an account or completing a purchase, you agree to these Terms. If you accept them on behalf of a company, you confirm that you have authority to bind that company, and "you" means that company.
PART A — WEBSITE TERMS
A1. About Muse
Muse provides Muse Engine, a platform that researches a company's business and builds and operates an autonomous AI influencer for that company. Companies buy Muse AI-influencer plans through the Muse Customer Portal. Muse may also sell standalone packages directly on the Site (B20). Muse also offers selective, separately contracted Brand Campaigns using AI influencers that Muse operates. The Site describes these services and lets visitors contact us, submit inquiries, buy standalone packages and start a plan purchase in the Customer Portal.
A2. Privacy
Your use of the Site and of Muse services is subject to our Privacy Policy, which explains what we collect and how we use it.
A3. Live AI avatar conversations
Parts of the Site may let you talk with an AI avatar by voice or text. When you do:
- you are talking with an AI system, not a person;
- your voice is processed in real time, and a transcript of the conversation is stored, as described in our Privacy Policy;
- what the avatar says is generated by AI. It may be inaccurate, and it is not an offer, a promise or professional advice. Only these Terms and the prices shown at checkout bind Muse;
- don't share sensitive personal information (for example health, financial-account or government ID information) in a conversation.
A4. Electronic communications
Visiting the Site or emailing Muse are electronic communications. You consent to receive communications from us electronically, and you agree that agreements, notices and disclosures we provide electronically satisfy any requirement that they be in writing.
A5. Eligibility
Muse services are for businesses and for adults acting for a business. You must be at least 18 to create an account or buy a plan. Muse does not knowingly collect personal information from children under 13.
A6. Acceptable use of the Site
We grant you a non-exclusive, non-transferable, revocable licence to access and use the Site in line with these Terms. You will not:
- use the Site for any unlawful purpose;
- damage, disable, overburden or impair the Site;
- interfere with anyone else's use of it;
- try to obtain materials or information through means the Site doesn't intentionally provide;
- scrape it, or copy it to build a competing product.
A7. Site content
The Site's content belongs to Muse or its licensors and is protected by intellectual-property laws. That includes its text, graphics, logos, images, videos and software. You may view it for your own information. You may not modify, republish or exploit it except as these Terms allow. Customer rights to content generated for them are set out in Part B.
A8. Third-party links and services
The Site may link to third-party sites, and some services are delivered by third parties. Examples are Google sign-in, Stripe payments and scheduling tools. We're not responsible for third-party sites or services. Their own terms and privacy policies apply.
A9. International users
Muse is operated from the United States. You can view the Site from anywhere, but all paid self-service purchases (Muse plans in the Customer Portal and Website Packages on the Site) are currently available only to businesses located in the United States. If you access the Site from elsewhere, you are responsible for complying with local laws.
A10. Disclaimer
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUSE AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. THE SITE MAY CONTAIN INACCURACIES, AND WE MAY CHANGE IT AT ANY TIME.
PART B — CUSTOMER TERMS
B1. The Service
When you buy a plan, Muse uses Muse Engine to:
- research your business;
- build a dedicated AI influencer for your company;
- produce content according to your plan (the "Service").
The Service is delivered and managed through the Muse Customer Portal.
B2. Plans, Organic Content and Conversion Ads
What each plan includes: your plan sets which capabilities are available and what Muse produces for you. The details of each plan are those confirmed in the Customer Portal at checkout (see B4.1).
- Organic Content: on plans that include it, the monthly number of Organic Content pieces is Muse's production commitment to you for each billing period. It is not a cap you draw down.
- Conversion-focused Ads: these are an allowance, meaning the maximum number Muse produces for you.
- On monthly plans, the allowance applies per billing period. Unused ads expire at the end of that period and don't carry over.
- On Trial, the allowance is a fixed lifetime number that stays available until used.
Research and the 30-Day Growth Plan stay yours to read:
- Once you've paid a Growth or Scale activation fee, your Market, Brand, Competition and Product Research reports and your existing 30-Day Growth Plan remain readable in your Customer Portal after your plan is cancelled, isn't renewed, or is suspended.
- New production stops, but intelligence you've paid for doesn't disappear.
Trial:
- A Trial is a one-time purchase, not a time-limited free trial. It includes building your AI influencer and its lifetime Conversion-focused Ads allowance.
- Once that allowance is delivered, no further content is produced until you upgrade.
- Your account and influencer remain available in the Customer Portal in a locked Trial state.
Upgrades:
- Upgrading turns on the capabilities of the new plan for the same influencer. Nothing is rebuilt.
- Upgrading from Trial to Growth or Scale requires the one-time activation fee in full. The Trial fee is not credited toward it.
Reactivation:
- If you've already paid the activation fee for an influencer, you don't pay another activation fee when you cancel and later reactivate Growth or Scale for that same influencer.
- The subscription prices current at reactivation apply. A locked or promotional monthly rate from an earlier subscription doesn't carry over after a lapse (B4.4).
B3. Accounts
You sign in to the Customer Portal with Google. You agree to:
- give accurate information;
- keep your account secure;
- tell us promptly about any unauthorised use.
You are responsible for activity under your account.
B4. Fees, billing and automatic payment
- Prices and plan details: prices and plan details are shown on the Site for convenience and confirmed in the Customer Portal at checkout. That covers one-time fees, activation fees, special or launch pricing, and plan inclusions. If the two differ, the Customer Portal checkout controls.
- Payment method and automatic charges: you must keep a valid payment card or other accepted payment method on file. You authorise Muse and its payment processor (Stripe) to charge it automatically for:
- every fee you incur;
- each recurring subscription fee, in advance, at the start of each billing period, until you cancel.
- Billing timing:
- One-time fees (the Trial fee and any activation fee) are charged at purchase.
- Monthly plans are billed in advance.
- Work begins only after payment succeeds.
- Special and launch rates:
- Locked rates: if you subscribe at a monthly rate that the Customer Portal identifies at checkout as locked (for example a launch special), that rate applies for as long as your subscription stays continuously active. If the subscription ends and later restarts, the prices current at that time apply.
- Other promotional rates: a promotional rate that the Customer Portal doesn't identify as locked applies only for the promotional period shown at checkout. After that period, your next renewal is charged at the then-current standard rate for your plan.
- No mid-period changes: we never change the price of a billing period you've already paid for.
- Offer end dates: special pricing is available only to customers who complete checkout on or before the offer's end date shown at checkout.
- Price changes: we may change prices for future billing periods, with at least 30 days' notice to your account email. Locked rates under item 4 are not affected while your subscription stays continuously active.
- Taxes and fees: you are responsible for applicable taxes, transaction fees and payment-processing charges.
- Late amounts: overdue amounts may bear interest at 12% per year, or the maximum rate permitted by law, whichever is less.
B5. Automatic renewal and cancellation
- Renewal: monthly plans renew automatically each month at the then-applicable rate until you cancel.
- How to cancel: you can cancel at any time in the Customer Portal. We also accept cancellation in writing by email to info@musemodels.ai.
- When it takes effect: cancellation takes effect at the end of the current paid billing period. Your plan's capabilities continue until then.
- After it takes effect: production stops. Your account, your Research reports and your existing 30-Day Growth Plan remain readable (B2), and you keep your rights to delivered Content (B10).
- No partial refunds: we don't give partial or prorated refunds for unused time or unused allowances.
B6. Refunds
All fees are non-refundable, except where applicable law requires otherwise. That covers the Trial fee, activation fees and monthly fees.
B7. Non-payment, suspension and chargebacks
- If a payment fails or is late, we may immediately:
- suspend your plan and disable its capabilities;
- pause all production and new content;
- restrict access to Portal features other than viewing and billing,
until all overdue amounts are paid. Research and Growth Plans you've already paid for remain readable (B2).
- No unpaid production: we may keep retrying your payment method during suspension. However, no new paid billing period begins, and no new production takes place, until a payment succeeds.
- Termination: if payment isn't made within 30 days of the first failed payment, we may terminate your plan.
- Failure to pay is a material breach of these Terms.
- Chargebacks:
- You agree that charges made under these Terms, including charges for plans, upgrades and changes you selected or approved, are authorised. You agree not to initiate a chargeback or payment dispute for them.
- If you believe a charge is wrong, contact us first at info@musemodels.ai, and we will work with you in good faith.
- A chargeback for an authorised charge is a material breach. We may suspend or terminate your account, and recover the disputed amount plus any chargeback fees and collection costs.
- This doesn't limit any right you have under applicable law.
B8. Your responsibilities
You are responsible for:
- Inputs and approvals: giving the information, brand materials, approvals and feedback the Service needs, in a timely way.
- Weekly performance data: giving Muse performance data for the content you publish or run at least weekly, where Muse doesn't receive it directly from the relevant platform or integration, through the Customer Portal or as we reasonably request. Examples are views, engagement, clicks, conversions and ad results. Continuous performance learning depends on this data. Muse isn't responsible for reduced performance or learning where this data isn't provided.
- Conversion-focused Ads:
- These are ad creative for you to run on your own advertising accounts.
- You are solely responsible for ad spend, media buying, campaign setup and management, and compliance with advertising-platform policies.
- Muse doesn't provide or manage paid media under these plans.
- Your accounts, publishing and distribution:
- You own your accounts: your company owns and controls the social media accounts and any Owned Audience assets used for your influencer, such as a newsletter or subscriber list.
- How content is published: while your plan is active and you've authorised it, Muse may publish and operate on those accounts on your behalf. Alternatively, Muse may deliver content for you to publish yourself. Which of these applies depends on the operating mode currently supported for your plan and channel, as shown in the Customer Portal.
- Your obligations: you are responsible for keeping the access and authorisations Muse needs in place, and for complying with each platform's terms for accounts you own.
- Revoking access: you may revoke Muse's access at any time. Production that depends on that access pauses until it's restored.
- Legal compliance of your materials and use: the accuracy, legality and compliance of your materials, products and claims, and of how you use the content. That includes advertising, endorsement and consumer-protection rules, and any AI-content disclosure rules that apply.
- AI disclosure: keeping any "AI-generated" disclosure Muse applies, and not presenting the influencer as a real person.
B9. Your materials
You confirm that you own, or have all rights, licences and permissions for, everything you give Muse. That includes your website, logos, brand assets, product information and media. You confirm too that Muse's use of them to provide the Service won't infringe anyone's rights.
You grant Muse a non-exclusive licence to use those materials to provide, operate and improve the Service for you. Muse isn't responsible for claims arising from materials you supply.
B10. Ownership and rights
- What you keep: you keep all rights in your own materials: brand, logos, trademarks, products, website, data and the business information you provide.
- Your influencer:
- The AI influencer built for you is dedicated and exclusive to your company. That includes its customer-specific identity, persona, visual identity, name, styling and brand representation.
- Muse won't use that identity for any other customer or for itself, during your plan or after it ends.
- Content:
- Content delivered to you under your plan is yours to use for any lawful business purpose, permanently and worldwide. That includes videos, images, captions, ads, research reports and growth plans.
- What Muse keeps (Muse IP):
- Muse keeps all rights in Muse Engine and its general technology: models, prompts, workflows, research methods, infrastructure, processes and know-how, and improvements to them.
- Nothing in these Terms transfers Muse IP to you.
- How the influencer operates:
- Producing new content with your influencer requires Muse's systems.
- These Terms don't give you a right to run, export or replicate Muse Engine, or to operate the influencer outside the Service.
- After your plan ends:
- You keep your rights to all Content delivered before the end date, and your Research and Growth Plan remain readable (B2).
- New generation and operation of the influencer stop.
- Muse's operational access to your social and Owned Audience accounts ends. You keep those accounts and your audience (B8.4).
- No reverse engineering: you won't reverse engineer, decompile or extract Muse IP, or use the Service or Content to build a competing system.
B11. Data and improvement
Muse may use performance data and usage of the Service to operate and improve the Service for you. Muse may also use aggregated and de-identified data across customers to improve Muse Engine. Muse never discloses your confidential information or identifiable organisation data to other customers, and never uses it in their services.
How we handle personal information is described in our Privacy Policy.
Owned Audience:
- Where Muse operates an Owned Audience channel for you, Muse processes your audience members' personal information on your behalf and under your instructions.
- You are responsible for having the notices and consents your audience requires.
- Before Muse starts operating an Owned Audience channel for you, you and Muse will enter into a data-processing addendum ("DPA"). The DPA governs that processing and prevails over these Terms where they conflict.
B12. Confidentiality
Muse will keep your non-public business information confidential. Muse will use it only to provide the Service, except where disclosure is required by law. This obligation continues after your plan ends.
B13. No performance guarantee
Muse doesn't guarantee any particular result, including followers, reach, engagement, clicks, conversions, sales or revenue. AI-generated content and social and advertising performance are iterative and depend on factors outside Muse's control, such as third-party platforms and algorithms. Nothing in these Terms creates a partnership or joint venture, or guarantees business success.
B14. Third-party platforms and providers
The Service relies on third-party platforms and providers, for example social networks, advertising platforms, AI model providers and payment processors. Muse isn't responsible for their availability, policy changes or actions, such as content removals or account restrictions.
B15. Term and termination
- These Customer Terms apply while you have a plan and survive as needed afterwards.
- You may cancel as described in B5.
- Muse may suspend or terminate your plan for:
- non-payment (B7);
- a material breach that isn't cured within 30 days after notice, or immediately for an incurable breach, unlawful use or misuse of the Service;
- insolvency or bankruptcy.
- On termination: sections B4.7, B6, B7, B9, B10, B12, B13 and B16–B19 and Part C survive. Data retention is described in the Privacy Policy.
B16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- MUSE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SITE OR THE SERVICE.
- MUSE'S TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE FEES YOU PAID MUSE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
B17. Indemnification
You will indemnify, defend and hold harmless Muse and its officers, directors, employees and agents from claims, losses and costs, including reasonable attorneys' fees, arising from:
- your materials;
- your use or distribution of Content, including your ads and their claims;
- your breach of these Terms;
- your violation of law or of third-party rights.
B18. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control. Examples are natural disasters, public-health emergencies, government actions, labour disputes, internet or utility failures, and outages or policy changes of third-party platforms and suppliers.
B19. Brand Campaigns
Custom Brand Campaigns using Muse-operated influencers aren't sold through the Customer Portal. They are governed by a separate written agreement.
B20. Website packages
Muse may sell standalone packages directly on the Site, using Site checkout processed by Stripe. Examples are research or strategy packages and campaign offers ("Website Packages").
- Price and contents: the price and contents are those shown on the package's offer page and at Site checkout. Website Packages are one-time purchases and don't renew.
- Not a plan: a Website Package is not a Muse plan, and it doesn't create a Customer Portal subscription or entitlement. Trial, Growth, Scale, activation fees and upgrades are sold only in the Customer Portal (B4).
- Delivery: Muse delivers the package as described on its offer page, usually after you complete any intake form that follows payment.
- Refunds: fees for Website Packages are non-refundable (B6), except where applicable law requires otherwise.
- Your information: you must provide accurate purchase, contact and intake information needed to deliver the Website Package. A Website Package doesn't require a Customer Portal account.
- Other terms: B7.2 (chargebacks), B8.5, B9, B10, B12, B13 and B16–B18 apply to Website Packages as they do to plans.
PART C — GENERAL
C1. Dispute resolution and arbitration
The parties will first try to resolve any dispute through good-faith negotiation for 30 days. If that fails, the dispute will be resolved by final and binding arbitration under the Federal Arbitration Act:
- before a single neutral arbitrator;
- administered by the American Arbitration Association under its applicable rules;
- in Santa Clara County, California, or by video.
The arbitrator decides the scope and enforceability of this provision. Judgment on the award may be entered in any court with jurisdiction. The prevailing party may recover reasonable costs and attorneys' fees. This section survives termination.
C2. Class action waiver
Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding. Unless both parties agree otherwise, the arbitrator may not consolidate claims or preside over any representative or class proceeding.
C3. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
C4. Assignment
Muse may assign these Terms, including in a merger, acquisition, reorganisation or sale of assets. You may not assign them without Muse's prior written consent, which won't be unreasonably withheld.
C5. Relationship of the parties
Muse is an independent contractor. No partnership, joint venture, employment or agency relationship is created.
C6. Changes to these Terms
We may update these Terms. We'll post the new version with its effective date. For material changes affecting Customers, we'll also notify your account email at least 30 days in advance. The Customer Portal records the version of these Terms you accepted. Continued use after the effective date means you accept the update. Your existing plan's prices remain as described in B4.
C7. Entire agreement, severability and waiver
- Entire agreement: these Terms, the plan details confirmed at Customer Portal checkout (or, for Website Packages, the offer page and Site checkout) and the Privacy Policy are the entire agreement for their subject matter. A separately signed written agreement with Muse prevails where it conflicts.
- Severability: if any provision is unenforceable, it will be limited to the minimum extent needed, and the rest stays in effect.
- Waiver: failure to enforce a provision isn't a waiver.
